All rights not expressly granted remain reserved by 911 Tech.
Customer retains ownership of Customer Data.

All fees are quoted in U.S. Dollars and are non-refundable unless otherwise stated.
Customer is responsible for payment of all applicable taxes excluding taxes based on 911 Tech's income.
911 Tech reserves the right to modify pricing, subscription fees, license fees, training fees, storage fees, maintenance fees, and any other charges for DORWorks at any time.

Customer acknowledges that future renewals, additional Trainee Licenses, additional Training Programs, storage services, maintenance services, and other purchases may be subject to different pricing, fees, or terms.
By purchasing or subscribing to DORWorks, Customer authorizes 911 Tech to charge the applicable subscription fees, license fees, and additional service fees for the purchase Customer makes, in accordance with pricing in effect at the time of that purchase. 911 Tech will not charge Customer for a renewal unless Customer affirmatively makes an additional purchase or enters into a separate written agreement providing for recurring billing.
Except as expressly stated otherwise by 911 Tech in writing, all payments are final and non-refundable, including in cases of early termination, non-use, partial use, suspension, or cancellation during an active subscription term.
DORWorks Licensing
Customer acknowledges DORWorks pricing is based on purchased Trainee Licenses and Training Programs.

Unless otherwise stated during signup or purchase, Customer's subscription includes access to one (1) Training Program configuration.
Additional Training Programs, custom program configurations, materially modified program templates, or replacement programs may require additional fees.
Once a trainee is added to a Training Program, that Trainee License is deemed consumed and may not be reused, reassigned, transferred, recycled, or applied to another trainee regardless of whether such trainee completes the Training Program.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF USE.

12.1 By 911 Tech. Subject to the limitations set forth under Section 11, 911 Tech will defend Customer against any third-party claim arising out of any breach of these terms and conditions by 911 Tech or any claim alleging that the DORWorks Software, as provided by 911 Tech and used in accordance with this Agreement, infringes or misappropriates such third party's United States patent, copyright, trademark, or trade secret, and will indemnify Customer for damages finally awarded against Customer (or amounts payable under a settlement 911 Tech approves in writing) arising from such claim. 911 Tech's obligations under this Section do not apply to the extent a claim arises from (a) Customer Data; (b) use of the Service in violation of this Agreement or applicable law; (c) modification of the Service by anyone other than 911 Tech; or (d) combination of the Service with products, data, or services not provided by 911 Tech. If the Service becomes, or 911 Tech reasonably believes it may become, the subject of an infringement claim, 911 Tech may, at its option, (i) procure for Customer the right to continue using the Service, (ii) modify or replace the Service so that it is non-infringing, or (iii) terminate the affected subscription and refund any prepaid, unused fees. This Section states 911 Tech's entire liability, and Customer's exclusive remedy, for any claim of intellectual property infringement.

Customer's indemnification obligations under this Section are subject to any limitations imposed by applicable law, including statutory or constitutional limitations applicable to government entities.
12.3 Procedure. The party seeking indemnification will (a) promptly notify the other party in writing of the claim; (b) give the indemnifying party sole control of the defense and settlement of the claim, provided that no settlement imposing any liability or obligation on the indemnified party may be entered into without its prior written consent, not to be unreasonably withheld; and (c) provide reasonable cooperation in the defense at the indemnifying party's expense.
13. TERM AND TERMINATION
This Agreement begins on the date Customer first registers for, purchases, subscribes to, accesses, or uses the Service and remains in effect for the subscription period or term for which Customer has paid, and thereafter until terminated in accordance with this Agreement.
This Agreement does not automatically renew. Access beyond the paid period requires Customer to purchase additional Trainee Licenses, Training Programs, or other services, or to enter into a separate written agreement with 911 Tech. Recurring billing or automatic renewal applies only where Customer enters into a separate written agreement that expressly provides for it.
911 Tech may modify fees at any time, and revised fees shall apply to any future purchase by Customer.
Either party may terminate this Agreement:
(a) upon thirty (30) days written notice of material breach if uncured; or
(b) if the other party becomes subject to bankruptcy, insolvency, liquidation, or receivership proceedings.
Termination shall not relieve Customer of payment obligations accrued prior to termination.
Upon termination or expiration of this Agreement for any reason, Customer shall have ninety (90) days from the effective date of termination to export all Customer Data, after which 911 Tech may permanently delete Customer Data, except that Completed Trainee Data is governed by the retention and deletion terms in Section 14. 14.2 Standard Retention. Except as provided in Section 14.3, 911 Tech will retain an Active Agency's Completed Trainee Data for up to five (5) years following the trainee's program completion date. Upon expiration of the five (5) year retention period, 911 Tech will automatically, and without prior notice, permanently delete the Completed Trainee Data from active systems, backups, archives, and all other storage systems, unless Customer and 911 Tech have entered into a separate written agreement for extended data retention, archival storage, or maintenance services.

The ninety (90) day period is intended to provide Customer a final opportunity to export its Customer Data, and Customer remains solely responsible for performing such export.
14.4 No Restoration. Following permanent deletion under this Section, 911 Tech shall have no obligation to restore, recover, or reproduce any deleted Customer Data, and Customer waives any claim arising from deletion performed in accordance with this Agreement. 911 Tech may, but shall not be required to maintain any backup or archive of Customer Data.
14.5 Storage. Total storage for all Customer S3 files (including but not limited to uploads, exports, branding, and profile photos) is limited to 100GB. Uploads and exports will be blocked once the storage limit is reached. Customer's data usage is available at all times on Customer's DORWorks dashboard. This Agreement, together with any attached exhibits and all information conveyed on Customer's DORWorks Dashboard, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, proposals, and agreements relating to the subject matter herein. 911 Tech honors all advertised pricing in publication at the time Customer commences its services hereunder.
This Agreement may only be modified in accordance with Section 23 or by written agreement issued by 911 Tech.
17. ASSIGNMENT
Customer shall not assign, transfer, delegate, or otherwise convey any part of this Agreement without prior written consent from 911 Tech.
911 Tech may assign this Agreement to a subsidiary, affiliate, successor-in-interest, or purchaser of substantially all assets upon written notice to Customer.
Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to:
Performance obligations shall be tolled for the duration of the force majeure event.
19. WAIVER

20. HEADINGS
Section headings are for convenience only and shall not affect interpretation of this Agreement.
21. SEVERABILITY
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Any invalid or unenforceable provision shall be interpreted to best accomplish its intended purpose within the limits of applicable law.
22. ELECTRONIC ACCEPTANCE
By clicking 'I Agree', accessing the Service, or otherwise using the Service, Customer acknowledges that it has read, understood, and agrees to be bound by these Terms.
