active trainee management, evaluation, and field training documentation
workflows and is not intended to serve as Customer's sole or permanent archival
storage system.
Customer is solely responsible for exporting, backing up,
and retaining trainee records, evaluations, DORs, attachments, and all Customer
Data necessary to satisfy legal, regulatory, accreditation, evidentiary,
personnel, or internal record retention requirements.

Tech.

the Software, Product, Service, Source Code, and all related intellectual
property.

(a) sell, resell, lease, sublicense, or distribute the
Service;

with pricing made available by 911 Tech through DORWorks, including pricing
displayed during signup, purchase, renewal, or additional service purchases.
All fees are quoted in U.S. Dollars and are non-refundable
unless otherwise stated.
Customer is responsible for payment of all applicable taxes
excluding taxes based on 911 Tech's income.
911 Tech reserves the right to modify pricing, subscription
fees, license fees, training fees, storage fees, maintenance fees, and any
other charges for DORWorks at any time.
Pricing in effect at the time of signup, renewal, purchase,
or additional license/program purchase applies only to that specific
transaction and does not guarantee future pricing.
Customer acknowledges that future renewals, additional
Trainee Licenses, additional Training Programs, storage services, maintenance
services, and other purchases may be subject to different pricing, fees, or
terms.
By purchasing or subscribing to DORWorks, Customer
authorizes 911 Tech to charge the applicable subscription fees, license fees,
and additional service fees for the purchase Customer makes, in accordance with
pricing in effect at the time of that purchase. 911 Tech will not charge
Customer for a renewal unless Customer affirmatively makes an additional
purchase or enters into a separate written agreement providing for recurring
billing.
Except as expressly stated otherwise by 911 Tech in writing,
all payments are final and non-refundable, including in cases of early
termination, non-use, partial use, suspension, or cancellation during an active
subscription term.
DORWorks Licensing
Customer acknowledges DORWorks pricing is based on purchased
Trainee Licenses and Training Programs.
Each purchased Trainee License permits enrollment of one (1)
trainee in one (1) Training Program.
Unless otherwise stated during signup or purchase,
Customer's subscription includes access to one (1) Training Program
configuration.
Additional Training Programs, custom program configurations,
materially modified program templates, or replacement programs may require
additional fees.
Once a trainee is added to a Training Program, that Trainee
License is deemed consumed and may not be reused, reassigned, transferred,
recycled, or applied to another trainee regardless of whether such trainee
completes the Training Program.
Deletion, archival, or removal of a trainee record does not
restore or create an available Trainee License.
Any additional, replacement, or re-enrollment of a trainee
requires purchase of a new Trainee License.
8. CONFIDENTIALITY
As used herein, "Confidential Information" means
all information of a party ("Disclosing Party") disclosed to the
other party ("Receiving Party") that is confidential or proprietary
in nature.
Confidential Information includes, without limitation:

- Customer Data;
- Source Code;
- any intellectual property associated with the design and function of the Product and/or Service;
- technical information about the Product or Service;
- Product designs; and
- business processes.

Information; or

confidentiality obligations.
The Receiving Party shall not disclose or use Confidential
Information except as necessary to , use the Product or Service, perform
obligations under this Agreement or as otherwise permitted herein.
Each party agrees to protect Confidential Information using
at least a commercially reasonable level of care.
If disclosure is required by law, subpoena, court order, or
administrative process, the Receiving Party shall provide prompt notice to the
Disclosing Party unless prohibited by law.
Any Freedom of Information Act (FOIA) request received by
911 Tech relating to Customer Data shall be forwarded to Customer where legally
permitted. Customer shall be responsible for determining whether requested
records are exempt from disclosure and shall issue a written notice of
objection to the FOIA request to 911 Tech within five (5) business days, after
which 911 Tech shall be authorized to respond to the FOIA request without
further notice to Customer. Customer shall indemnify 911 Tech for any damages
arising out of Customer's objection to any FOIA request which was not answered
in reliance on Customer's objection thereto. 911 Tech may disclose Customer Data if
required by law, court order, or governmental directive.
9. DATA SECURITY AND BREACH NOTIFICATION
911 Tech maintains administrative, technical, and physical
safeguards designed to protect Customer Data against unauthorized access, use,
disclosure, alteration, or destruction, consistent with generally accepted
industry standards.
9.1 Breach Notification. In the event 911 Tech
confirms an unauthorized acquisition, access, use, or disclosure of Customer
Data that compromises the security, confidentiality, or integrity of such
Customer Data (a "Security Breach"), 911 Tech will notify the
affected Customer without undue delay, and in any event within seventy-two (72)
hours after 911 Tech confirms the Security Breach. The notice will describe, to
the extent then known, the nature of the Security Breach, the categories of
Customer Data involved, and the measures 911 Tech is taking to investigate,
mitigate, and remediate. Customer is responsible for any notifications it is
required to make to affected individuals, regulators, or other third parties
under applicable law.
9.2 CJIS Compliance. To the extent Customer Data
includes criminal justice information subject to the FBI Criminal Justice
Information Services (CJIS) Security Policy, as amended from time to time, 911
Tech will handle such data in accordance with the applicable requirements of
the then-current CJIS Security Policy. Any CJIS Security Addendum or
state-specific CJIS agreement required by Customer will be addressed through a
separate written agreement as provided in Section 9.3.
9.3 Negotiated Agreements. Customer acknowledges
DORWorks is offered through automated, self-service registration on these
standard terms. Customers requiring an individually negotiated data processing
agreement, security addendum, business associate agreement, or other custom data-handling
terms must contact 911 Tech to enter into a separate written agreement prior to
use. Absent such separate written agreement, this Agreement governs.
10. SUSPENSION OF SERVICES
911 Tech reserves the right to suspend Services to Customer
or any User or remove Customer Data if 911 Tech reasonably believes:
(a) Customer or a User is violating this Agreement;
(b) suspension is necessary or advised by 911 Tech legal
counsel to comply with law, regulation, court order, or governmental request;
(c) suspension is necessary to prevent harm to the Service,
infrastructure, or third parties;
(d) Customer fails to pay fees or charges when due (with
termination not acting as a waiver of such fees or charges).
911 Tech will provide reasonable notice before suspension
where practical.
If immediate suspension is required, notice shall be
provided as soon as reasonably practicable.
911 Tech shall restore access once the condition giving rise
to suspension has been resolved. Additional fees and charges may apply.
11. REPRESENTATIONS, WARRANTIES, AND LIMITATION OF
LIABILITY
Each party represents and warrants it has authority to enter
into this Agreement.
911 Tech warrants it will provide the Product and Service in
a manner consistent with generally accepted industry standards.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE AND PRODUCT
ARE PROVIDED "AS IS."
911 TECH DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED SERVICE.
911 Tech does not warrant that operation of the Service will
always be uninterrupted, secure, timely, or error-free.
Customer acknowledges and agrees that routine exports and
backups are Customer's responsibility and 911 Tech shall not be liable for loss
of Customer Data resulting from Customer's failure to perform such exports or
backups.
AI AND AUTOMATED PROCESSING
DORWorks may offer optional AI-assisted features including
summarization, recommendations, analytics, workflow automation, pattern
recognition, and reporting assistance.
Customer acknowledges such AI-assisted features are advisory
only and do not replace supervisory review, evaluation, disciplinary review,
legal review, or management decision-making.
Customer authorizes 911 Tech to upload Customer's
Confidential Information to an AI platform chosen in 911 Tech's sole
discretion, provided that any such platform shall be contractually required to
maintain the confidentiality of such Confidential Information, shall only store
such Confidential Information if anonymized, and such Confidential Information
shall not be used for model training.
Customer retains sole responsibility for all employment,
training, evaluation, disciplinary, personnel, and operational decisions.
IN NO EVENT SHALL EITHER PARTY'S TOTAL LIABILITY ARISING OUT
OF OR RELATED TO THIS AGREEMENT EXCEED THE LESSER OF $100,000 OR THE AMOUNTS
PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST
PROFITS, LOSS OF DATA, OR LOSS OF USE.
12. INDEMNIFICATION
12.1 By 911 Tech. Subject to the limitations set
forth under Section 11, 911 Tech will defend Customer against any third-party
claim arising out of any breach of these terms and conditions by 911 Tech or
any claim alleging that the DORWorks Software, as provided by 911 Tech and used
in accordance with this Agreement, infringes or misappropriates such third
party's United States patent, copyright, trademark, or trade secret, and will
indemnify Customer for damages finally awarded against Customer (or amounts
payable under a settlement 911 Tech approves in writing) arising from such
claim. 911 Tech's obligations under this Section do not apply to the extent a
claim arises from (a) Customer Data; (b) use of the Service in violation of
this Agreement or applicable law; (c) modification of the Service by anyone
other than 911 Tech; or (d) combination of the Service with products, data, or
services not provided by 911 Tech. If the Service becomes, or 911 Tech
reasonably believes it may become, the subject of an infringement claim, 911
Tech may, at its option, (i) procure for Customer the right to continue using
the Service, (ii) modify or replace the Service so that it is non-infringing,
or (iii) terminate the affected subscription and refund any prepaid, unused
fees. This Section states 911 Tech's entire liability, and Customer's exclusive
remedy, for any claim of intellectual property infringement.
12.2 By Customer. To the extent permitted by
applicable law, Customer will indemnify and hold harmless 911 Tech from any
third-party claim arising from (a) Customer Data, including any claim that
Customer Data infringes, misappropriates, or violates the rights of a third
party or applicable law; or (b) Customer's or its Users' use of the Service in
violation of this Agreement or applicable law. Customer's indemnification
obligations under this Section are subject to any limitations imposed by
applicable law, including statutory or constitutional limitations applicable to
government entities.
12.3 Procedure. The party seeking indemnification
will (a) promptly notify the other party in writing of the claim; (b) give the
indemnifying party sole control of the defense and settlement of the claim,
provided that no settlement imposing any liability or obligation on the
indemnified party may be entered into without its prior written consent, not to
be unreasonably withheld; and (c) provide reasonable cooperation in the defense
at the indemnifying party's expense.
13. TERM AND TERMINATION
This Agreement begins on the date Customer first registers
for, purchases, subscribes to, accesses, or uses the Service and remains in
effect for the subscription period or term for which Customer has paid, and
thereafter until terminated in accordance with this Agreement.
This Agreement does not automatically renew. Access beyond
the paid period requires Customer to purchase additional Trainee Licenses,
Training Programs, or other services, or to enter into a separate written
agreement with 911 Tech. Recurring billing or automatic renewal applies only
where Customer enters into a separate written agreement that expressly provides
for it.
911 Tech may modify fees at any time, and revised fees shall
apply to any future purchase by Customer.
Either party may terminate this Agreement:
(a) upon thirty (30) days written notice of material breach
if uncured; or
(b) if the other party becomes subject to bankruptcy,
insolvency, liquidation, or receivership proceedings.
Termination shall not relieve Customer of payment
obligations accrued prior to termination.
Upon termination or expiration of this Agreement for any
reason, Customer shall have ninety (90) days from the effective date of
termination to export all Customer Data, after which 911 Tech may permanently
delete Customer Data, except that Completed Trainee Data is governed by the
retention and deletion terms in Section 14. Customer acknowledges it is
Customer's responsibility to export and back up its Customer Data, including
all completed Training Programs, and that 911 Tech may delete Customer Data earlier
than the periods described above as provided in Section 14.
14. DATA RETENTION AND DELETION
14.1 Customer Export Responsibility. Customer is
solely responsible for exporting and backing up its Customer Data, including
all records, evaluations, DORs, and attachments for each Training Program, at
or before the completion of that Training Program. DORWorks is intended for
active trainee management and is not a permanent system of record or archival
storage system.
14.2 Standard Retention. Except as provided in
Section 14.3, 911 Tech will retain an Active Agency's Completed Trainee Data
for up to five (5) years following the trainee's program completion date. Upon
expiration of the five (5) year retention period, 911 Tech will automatically,
and without prior notice, permanently delete the Completed Trainee Data from
active systems, backups, archives, and all other storage systems, unless
Customer and 911 Tech have entered into a separate written agreement for
extended data retention, archival storage, or maintenance services.
14.3 Early Deletion. Notwithstanding Section 14.2,
911 Tech may permanently delete Customer Data, including Completed Trainee
Data, beginning ninety (90) days after any of the following: (a) cancellation,
termination, lapse, or non-payment of Customer's payment or subscription when
due; (b) 911 Tech's determination that the account is associated with fraud,
abuse, or violation of this Agreement or applicable law; (c) Customer's written
request that its Customer Data be deleted; or (d) Customer ceasing to be an
Active Agency as defined in Section 1.13. The ninety (90) day period is
intended to provide Customer a final opportunity to export its Customer Data,
and Customer remains solely responsible for performing such export.
14.4 No Restoration. Following permanent deletion
under this Section, 911 Tech shall have no obligation to restore, recover, or
reproduce any deleted Customer Data, and Customer waives any claim arising from
deletion performed in accordance with this Agreement. 911 Tech may, but shall
not be required to maintain any backup or archive of Customer Data.
14.5 Storage. Total storage for all Customer S3 files
(including but not limited to uploads, exports, branding, and profile photos) is
limited to 100GB. Uploads and exports will be blocked once the storage limit is
reached. Customer's data usage is available at all times on Customer's DORWorks
dashboard. Additional storage is available for an annual fee of $250.00 per
each additional 100GB of space.
15. GOVERNING LAW; VENUE
This Agreement shall be governed by the laws of the State of
Illinois without regard to conflict of law principles.
The state and federal courts located in Cook County,
Illinois shall have exclusive jurisdiction and venue over disputes arising from
this Agreement.
Each party consents to subject to such jurisdiction and
venue.
16. ENTIRE AGREEMENT
This Agreement, together with any attached exhibits and all
information conveyed on Customer's DORWorks Dashboard, constitutes the entire
agreement between the parties and supersedes all prior discussions,
negotiations, proposals, and agreements relating to the subject matter herein.
911 Tech honors all advertised pricing in publication at the time Customer
commences its services hereunder.
This Agreement may only be modified in accordance with
Section 23 or by written agreement issued by 911 Tech.
17. ASSIGNMENT
Customer shall not assign, transfer, delegate, or otherwise
convey any part of this Agreement without prior written consent from 911 Tech.
911 Tech may assign this Agreement to a subsidiary,
affiliate, successor-in-interest, or purchaser of substantially all assets upon
written notice to Customer.
Subject to the foregoing, this Agreement shall be binding
upon and inure to the benefit of the parties and their permitted successors and
assigns.
18. FORCE MAJEURE
Neither party shall be liable for failure or delay in
performance caused by circumstances beyond its reasonable control, including
but not limited to:
- acts of God;
- war;
- terrorism;
- civil unrest;
- pandemic;
- epidemic;
- labor disputes;
- severe weather;
- natural disasters;
- power failures;
- telecommunications outages;
- cyberattacks by third parties;
- governmental actions;
- delays involving hardware, software, or infrastructure outside reasonable control
of 911 Tech or the Customer.
Performance obligations shall be tolled for the duration of
the force majeure event.
19. WAIVER
A waiver by either party of any default or breach shall not
constitute a waiver of any subsequent default or breach.
No waiver shall be effective unless in writing and signed by
the waiving party.
20. HEADINGS
Section headings are for convenience only and shall not
affect interpretation of this Agreement.
21. SEVERABILITY
If any provision of this Agreement is determined to be
invalid, illegal, or unenforceable, the remaining provisions shall remain in
full force and effect.
Any invalid or unenforceable provision shall be interpreted
to best accomplish its intended purpose within the limits of applicable law.
22. ELECTRONIC ACCEPTANCE
By clicking 'I Agree', accessing the Service, or otherwise
using the Service, Customer acknowledges that it has read, understood, and
agrees to be bound by these Terms. Customer's electronic acceptance constitutes
a legally binding signature and agreement to these Terms to the same extent as
a handwritten signature, and the parties agree that this Agreement may be
executed and accepted electronically in accordance with the U.S. Electronic
Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform
Electronic Transactions Act (UETA), as applicable. If Customer does not agree
to these Terms, Customer must not click 'I Agree' and may not access or use the
Service.
23. MODIFICATIONS TO AGREEMENT
911 Tech reserves the right to modify this Agreement at any
time.
Updated versions will be posted within DORWorks or on the
DORWorks website.
Continued use of the Service after such updates constitutes
acceptance of the revised Agreement.
24. NOTICES
